Terms of Service

These Terms govern your engagement with Izzy Automation, operated by Isael Rivera as a sole proprietorship in Leominster, Massachusetts ("I" or "we"). By engaging me for services, you agree to these Terms.

Services

Izzy Automation provides custom AI and workflow automation services for small and mid-sized businesses, including system design, development, integration, and ongoing support. The specific services for each project are defined in a written scope of work agreed between Izzy Automation and the client before work begins.

Engagement Process

• Every project begins with a written scope of work outlining deliverables, timeline, and price.
• Pricing may be fixed, milestone-based, or retainer-based depending on the project.
• Work begins after the scope is agreed in writing (email confirmation is sufficient).

Payment Terms

• Invoices are issued via Stripe.
• Milestone-based projects require payment at each milestone before subsequent work continues.
• Invoices are due upon receipt unless otherwise specified.
• Late payments may pause active work until resolved.

Client Responsibilities

You agree to provide timely access to systems, credentials, information, and decisions needed to complete the work. Delays caused by client unresponsiveness may extend timelines and are not grounds for refund.

Intellectual Property

Upon full payment of an invoiced milestone, you own the deliverables produced for your business under that milestone. I retain rights to underlying methods, generic code patterns, and reusable components that are not specific to your business. Either party may discuss the engagement publicly at a high level unless a non-disclosure agreement is signed.

Confidentiality

I treat client business information, credentials, and operational details as confidential and use them only to perform the contracted work.

Warranty and Liability

Services are provided on a best-effort professional basis. I do not guarantee specific business outcomes. To the maximum extent permitted by law, total liability for any claim arising from an engagement is limited to the amount paid by the client for the specific work that gave rise to the claim.

Termination

Either party may terminate an engagement in writing at any time. Fees for work completed up to the termination date are non-refundable. See the Refund Policy for details.

Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts. Any disputes will be resolved in the state or federal courts located in Massachusetts.
